Marketplace Supplier Agreement

Supplier Terms of Service

This Supplier Agreement ("Agreement") governs your participation as a supplier on the Myco Ops Marketplace, operated by Chase Freeman, d/b/a Myco Ops ("Myco Ops," "we," "our," or "us"). By registering as a supplier or listing products, you agree to these terms.

1. Marketplace Participation

The Myco Ops Marketplace connects mushroom cultivation supplies (substrate bags, equipment, media, and related products) with growers using the Myco Ops platform. Suppliers are vetted and approved by Myco Ops before their products are visible to buyers.

Supplier accounts are separate from grower accounts. You must be a registered business entity to participate as a supplier. Individual/consumer accounts are not eligible.

Myco Ops reserves the right to approve, reject, or suspend supplier applications at its sole discretion.

2. Product Listing Standards

All product listings must meet the following standards:

  • Accuracy: Descriptions, specifications, dimensions, and pricing must accurately reflect the product you are selling. Misleading listings are grounds for removal.
  • Images: Product images must be real photographs or accurate representations of the actual product. Stock photos that misrepresent the product are not permitted.
  • Compliance: Products must comply with all applicable federal, state, and local regulations. Agricultural supplies, sterilization equipment, and growing media must meet relevant safety and labeling requirements.
  • Availability: Keep your inventory status current. Remove or mark unavailable any products you cannot fulfill within your stated lead time.

Myco Ops may remove any listing that does not meet these standards without prior notice.

3. Commission and Fees

Myco Ops charges a marketplace commission of [COMMISSION_RATE]% on each completed transaction. This commission is deducted from the transaction amount before payout. The commission rate is subject to change with 30 days written notice.

There are no listing fees. You only pay a commission when a sale is made. Payouts are processed on a net-30 basis via Stripe Connect to your registered business bank account.

If a transaction is refunded or disputed, the commission for that transaction is also reversed.

4. Shipping and Fulfillment

You are solely responsible for shipping and fulfilling orders placed through the Marketplace.

  • Orders must be shipped within the lead time stated on your product listing
  • You are responsible for packaging products to prevent damage in transit
  • You must provide tracking information for all shipments
  • You are responsible for complying with any applicable shipping regulations for your product category (e.g., USDA regulations for biological materials)

If you cannot fulfill an order within the stated lead time, you must notify the buyer and Myco Ops promptly. Repeated fulfillment failures may result in account suspension.

5. Returns and Disputes

You must maintain a fair and clearly stated return policy for your products. At minimum:

  • Products that arrive damaged or defective must be refunded or replaced at your expense
  • Buyers must be able to contact you directly for order issues via the Marketplace messaging system

If a dispute cannot be resolved between you and the buyer, Myco Ops may mediate. Myco Ops' decision in mediated disputes is final. Chargebacks initiated through payment processors will be handled in accordance with Stripe's dispute resolution process.

6. Intellectual Property

You retain ownership of all product content you create — including product descriptions, images, specifications, and brand assets.

By listing products on the Marketplace, you grant Myco Ops a non-exclusive, royalty-free license to display your product content within the platform, in marketing materials for the Marketplace, and in communications to registered growers. This license ends when your listing is removed or your account is terminated.

You represent that you have the right to sell all listed products and that your product content does not infringe on any third-party intellectual property rights.

7. Termination

Either party may terminate this Agreement at any time. You may close your supplier account from the supplier portal settings. Myco Ops may suspend or terminate supplier accounts for:

  • Violations of these terms
  • Repeated quality complaints or fulfillment failures
  • Fraudulent activity or misrepresentation
  • Extended account inactivity (12+ months with no active listings)

Upon termination, all active listings are removed. Any outstanding orders placed before termination must still be fulfilled. Pending payouts for completed orders will be processed on the normal payout schedule.

8. Limitation of Liability

Myco Ops provides the Marketplace platform "as is" and makes no warranties regarding transaction completion, buyer behavior, or platform uptime. Myco Ops is not liable for any indirect, incidental, or consequential damages arising from your participation in the Marketplace, including lost revenue from platform downtime or buyer disputes.

9. Changes to This Agreement

Myco Ops may update these terms. When changes are made, we will notify suppliers by email at least 30 days before the changes take effect. Continued use of your supplier account after that date constitutes acceptance of the updated Agreement.
